Terms of Service
Last updated October 6, 2026
1. Agreement to terms
These Terms of Service govern your access to and use of the TeamDynamics websites, app, assessments, reports, resources and related services (collectively, the "Site"). Your agreement is with TeamDynamics, LLC, a California limited liability company doing business as TeamDynamics ("TeamDynamics", "we", "us" or "our"), at 2108 N St., Suite N, Sacramento, CA 95816. References to "you" include the organization you are authorized to represent. If you accept for an organization, you represent that you have authority to bind it. Do not accept or use the service on its behalf without that authority.
When you are asked to accept these Terms, you must review them and affirmatively agree before continuing. If you do not agree, do not purchase or use the services covered by that acceptance. A purchaser's acceptance does not by itself establish that every invited participant has individually accepted these Terms.
We may update these Terms and their Last updated date. Material changes apply prospectively, with notice and acceptance where required by applicable law. Posting a revision does not by itself replace the terms accepted for a completed purchase or an existing partner service period. A new purchase or renewal may require acceptance of the then-current Terms. Previously accepted versions remain available where linked in your purchase records.
You must be at least 18 years old and comply with laws applicable to your use. The service is not designed to satisfy industry-specific requirements such as HIPAA, FISMA or GLBA. Do not submit information or use the service in a way that requires such compliance unless we have expressly agreed in writing to the applicable requirements.
2. Intellectual property rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international copyright laws, and international conventions. The Content and the Marks are provided on the Site “AS IS” for the uses permitted below. Except as expressly provided in these Terms of Service, no part of the Site and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Provided that you are eligible to use the Site, you are granted a limited, non-exclusive license to use the service and download or print reports and resources you are authorized to access for your own development and your organization’s internal team development. Professional Partners may also use those materials with the clients covered by their partner account or written agreement. You may share them with the relevant participants and authorized client contacts, subject to applicable privacy obligations. This permission does not allow resale of standalone reports or resources, redistribution to unrelated clients, or removal of our attribution. We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.
3. User representations
You represent that you have legal capacity to agree to these Terms, that information you submit is accurate to the best of your knowledge, and that your use is lawful and authorized. You must not impersonate others, submit responses as another participant without authorization, or manipulate assessment results.
Accounts, teams and report access. If you purchase or administer the service for an organization or client, you must have authority to do so, to invite participants and to provide their information. Give participants appropriate notice of the purpose of the assessment and who can access their results, and obtain permissions required by applicable law. Access depends on the purchased offering and assigned role: managers, administrators and authorized partner colleagues may access the reports available to those roles. Keep account details secure, authorize only appropriate users and promptly remove access that is no longer authorized. Do not disclose results beyond authorized recipients. Removing access does not recall copies already downloaded.
Professional Partners. These Terms apply to coaching, consulting and other authorized partner use without requiring a separate partner agreement. Your accepted checkout, quote or separately agreed written terms specify your service period, client scope, invitation allowance, fees and payment terms. You are responsible for your colleagues and for using client information only for an authorized client engagement. Partner colleagues currently receive full access to the partner account and its clients; invite them only with appropriate authorization. You are responsible for your own advice, interpretations, representations to clients and professional obligations. Do not claim that TeamDynamics guarantees outcomes, validates employment selection, endorses your practice or authorizes you to bind us. Sharing with authorized clients under Section 2 is permitted; selling standalone reports or extending access beyond your agreed scope is not. Ending an engagement does not transfer client accounts or create new access rights; contact us about any permitted transition.
Appropriate use. TeamDynamics is a tool for development, communication and discussion. Results reflect submitted responses and context, may change, and do not establish a person's abilities, suitability for a role or future performance. The service is not a clinical diagnosis, medical or mental-health service, legal advice, or a guarantee of business, team or employment outcomes. It is not designed or validated as an employment selection tool. You must not use assessments, scores or reports to screen or rank job applicants or to determine hiring, promotion, compensation, discipline or dismissal. You remain responsible for your decisions and for evaluating whether the service is appropriate for your intended developmental use. Any future offering specifically intended for hiring or employment selection would require its own product-specific terms and appropriate validation; it is not part of the current developmental service.
4. Fees and payment
Solo and Pro purchases use Stripe Checkout. Available payment methods are shown at checkout.
You may be required to purchase or pay a fee to access some of our services. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Solo and Pro are one-time purchases at the price shown before payment. A purchase covers the offering and number of participants stated at checkout; additional participants may require a separate purchase. Adding a non-participating administrator or partner colleague does not itself purchase a participant assessment. Any partner subscription or usage terms are stated separately. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in U.S. dollars.
You agree to pay all charges or fees at the prices then in effect for your purchases, and you authorize us to charge your chosen payment provider for any such amounts upon making your purchase.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Site.
5. Cancellations and Refunds
All purchases are non-refundable except where required by applicable law or expressly agreed by us in writing. Solo and Pro purchases do not renew automatically.
If you are unsatisfied with our services, please Contact Us.
6. Prohibited activities
You may not access or use the Site for any purpose other than that for which we make the Site available. Business and client use permitted by Section 2 is allowed. Other commercial exploitation requires our written permission.
As a user of the Site, you agree not to:
- Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable, or otherwise interfere with security-related features of the Site, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site and/or the Content contained therein.
- Use any information obtained from the Site in order to harass, abuse, or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Site in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorized framing of or linking to the Site.
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Site or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
- Delete the copyright or other proprietary rights notice from any Content.
- Attempt to impersonate another user or person or use the username of another user.
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).
- Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site.
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.
- Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site.
- Copy or adapt the Site’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site.
- Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Site, or using or launching any unauthorized script or other software.
- Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
- Use the Site or Content to build or offer a competing assessment service, or commercially exploit them beyond the uses permitted by Section 2.
7. User generated contributions
Information you submit may include assessment responses, participant details, team information and other materials ("Contributions"). You retain your rights in those materials. You must have the rights, authority and legally required permissions to submit them and allow their use to provide the service. Do not submit unlawful, infringing, abusive or unauthorized information, or information restricted under Section 1.
Assessment responses, reports and client information are not public posts or non-confidential feedback merely because you submit them. Their processing and access are governed by our Privacy Policy, the purchased offering, assigned roles and any applicable data processing agreement. These Terms do not give unrelated users a right to view them.
8. Contribution license
You grant TeamDynamics the limited, non-exclusive rights to host, store, process, reproduce and display Contributions needed to operate and provide the services you are authorized to use, including generating reports and making them available to authorized recipients. This permission is subject to our Privacy Policy, your applicable choices and any separately agreed data processing terms. It does not transfer ownership of your Contributions or authorize public disclosure or unrelated marketing use of private assessment or client information.
You are responsible for information and materials you submit and for your own subsequent sharing of reports, subject to applicable law. Our responsibility for the service remains subject to Sections 19 and 20; this section does not waive rights that cannot lawfully be waived.
9. Submissions
If you voluntarily provide suggestions or ideas about improving TeamDynamics ("Feedback"), you grant us a non-exclusive, worldwide, perpetual, royalty-free right to use and adapt that Feedback without compensation or an obligation to implement it. Do not include another party's confidential material in Feedback without permission. Assessment responses, participant information, reports, client data and private support records are not Feedback merely because they are submitted through the Site; their handling remains governed by Section 8 and our Privacy Policy.
10. Third-party websites and content
The Site may contain (or you may be sent via the Site) links to other websites ("Third- Party Websites") as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third-Party Content"). Such Third-Party Websites and Third-Party Content are not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third-Party Websites accessed through the Site or any Third-Party Content posted on, available through, or installed from the Site, including the content, accuracy, offensiveness, opinions, reliability, privacy practices, or other policies of or contained in the Third-Party Websites or the Third-Party Content. Inclusion of, linking to, or permitting the use or installation of any Third-Party Websites or any Third-Party Content does not imply approval or endorsement thereof by us. If you decide to leave the Site and access the Third-Party Websites or to use or install any Third-Party Content, you do so at your own risk, and you should be aware these Terms of Service no longer govern. You should review the applicable terms and policies, including privacy and data gathering practices, of any website to which you navigate from the Site or relating to any applications you use or install from the Site. Any purchases you make through Third-Party Websites will be through other websites and from other companies, and we take no responsibility whatsoever in relation to such purchases which are exclusively between you and the applicable third party. You agree and acknowledge that we do not endorse the products or services offered on Third-Party Websites and you shall hold us harmless from any harm caused by your purchase of such products or services. Additionally, you shall hold us harmless from any losses sustained by you or harm caused to you relating to or resulting in any way from any Third-Party Content or any contact with Third-Party Websites.
11. U.S. Government rights
Our services are “commercial items” as defined in Federal Acquisition Regulation (“FAR”) 2.101. If our services are acquired by or on behalf of any agency not within the Department of Defense (“DOD”), our services are subject to the terms of these Terms of Service in accordance with FAR 12.212 (for computer software) and FAR 12.211 (for technical data). If our services are acquired by or on behalf of any agency within the Department of Defense, our services are subject to the terms of these Terms of Service in accordance with Defense Federal Acquisition Regulation (“DFARS”) 227.7202-3. In addition, DFARS 252.227-7015 applies to technical data acquired by the DOD. This U.S. Government Rights clause is in lieu of, and supersedes, any other FAR, DFARS, or other clause or provision that addresses government rights in computer software or technical data under these Terms of Service.
12. Site management
We reserve the right, but not the obligation, to: (1) monitor the Site for violations of these Terms of Service; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Service, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your Contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Site or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Site in a manner designed to protect our rights and property and to facilitate the proper functioning of the Site.
13. Privacy policy
Our Privacy Policy describes how we process personal information. Organizations and Professional Partners must provide required notices, obtain required permissions and comply with their own privacy obligations when inviting participants or using and sharing results. Nothing in these Terms replaces our obligations under applicable privacy law, permits you to waive another person's rights, or substitutes for a legally required data processing agreement or international transfer mechanism.
14. Term and termination
These Terms apply to the services covered by your acceptance. We may suspend or terminate access for material breach, unlawful or unauthorized use, nonpayment, or a reasonably identified security risk. We may act immediately where needed to protect users, the service or legal compliance. You may stop using the service at any time; payment, cancellation and refund rights remain governed by Sections 4 and 5 and any applicable written agreement.
Do not evade a suspension or termination by opening another account. Ending access does not recall downloaded reports, cancel accrued payment obligations or remove obligations relating to permitted use, confidentiality and privacy. Sections 2, 6, 8, 9, 16, 17, 19, 20, 21, 22 and 25 survive to the extent needed to give them effect. Nothing in this section removes a refund or other remedy required by law.
15. Modifications and interruptions
We may modify features, maintain the service or discontinue offerings. Availability may be affected by maintenance, technical failures or third-party services. We do not promise uninterrupted availability, permanent access, particular integrations, support response times or service levels unless expressly agreed in writing. Changes to the service do not override an expressly agreed paid scope or rights required by applicable law. Responsibility for interruptions and other losses is subject to Sections 19 and 20.
16. Governing law
These Terms of Service and your use of the Site are governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.
17. Dispute resolution
Informal resolution. Before pursuing a dispute, send a written description and requested resolution through our Contact Us page or the address in Section 26. We will try to resolve the dispute informally for 30 days after receipt. This process does not prevent a small-claims filing, urgent injunctive relief, reporting to a regulator or exercising non-waivable rights, and does not shorten applicable filing deadlines.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA’s Consumer Arbitration Rules ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in San Francisco, California. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in San Francisco, California, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms of Service.
Applicable legal filing periods govern. Either party may bring an eligible individual claim in small claims court. Nothing in this section waives non-waivable rights, a right to seek public injunctive relief, or a regulator's authority. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
18. Corrections
There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
19. Disclaimer
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ASSESSMENTS, REPORTS, RESOURCES AND RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND DO NOT WARRANT THAT THE SERVICE OR ITS CONTENT WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE OR SUITABLE FOR EVERY PURPOSE.
Outputs depend on submitted responses and context. Review them before use and do not treat them as objective findings about a person's competence, a diagnosis, a validated employment selection measure, or a guarantee of performance or business results. You are responsible for your own interpretations and decisions; Professional Partners are responsible for their own advice and client engagements. We do not endorse or guarantee third-party products or services merely by linking to them.
These disclaimers do not override an express commitment in a separately agreed written agreement, our Privacy Policy, or warranties and rights that cannot lawfully be excluded. Liability remains subject to Section 20.
20. Limitations of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEAMDYNAMICS AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SITE OR SERVICES, INCLUDING LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES OR GOODWILL, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
SUBJECT TO THE EXCEPTIONS BELOW, THE TOTAL AGGREGATE LIABILITY OF TEAMDYNAMICS AND THOSE PERSONS, COMBINED, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A ONE-TIME PURCHASE WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TEAMDYNAMICS FOR THAT PURCHASE. FOR ONGOING OR RECURRING SERVICES, INCLUDING AN ANNUAL PROFESSIONAL PARTNER SERVICE, THE COMBINED TOTAL AGGREGATE LIABILITY FOR ALL RELATED CLAIMS WILL NOT EXCEED THE FEES YOU ACTUALLY PAID TEAMDYNAMICS FOR THE SERVICES GIVING RISE TO THE CLAIMS DURING THE TWELVE MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY. FOR SERVICES PROVIDED WITHOUT CHARGE, THE COMBINED TOTAL AGGREGATE LIABILITY WILL NOT EXCEED US$100.
These are maximum limits, not an entitlement to compensation or an automatic refund. They apply regardless of the form of action, including contract, tort or otherwise, and are not multiplied by the number of claims, participants or persons covered by the same purchase or service. They do not cap your payment obligations to us.
Nothing in these Terms excludes or limits liability for fraud, willful injury, gross negligence or any liability or statutory right that cannot lawfully be excluded or limited. Any applicable non-waivable rights and remedies remain available. A separately agreed written agreement may specify a different limit for the matters it expressly covers.
21. Indemnification
To the extent permitted by applicable law, you will defend, indemnify and hold harmless TeamDynamics and its members, officers, directors, employees, agents and contractors against third-party claims, and reasonable resulting defense costs, damages and approved settlements, to the extent caused by: (a) your unlawful or prohibited use of the service; (b) your material breach of these Terms; (c) information or materials you submit without required rights or permissions; or (d) your unauthorized access to or disclosure of another person's information or reports. For Professional Partners, this also includes claims caused by your own coaching or consulting services, unauthorized representations about TeamDynamics, or client use you authorize contrary to these Terms. You are responsible on the same basis for colleagues you authorize to use your organization or partner account.
This obligation does not apply to the extent a claim is caused by TeamDynamics' own breach of these Terms, negligence, fraud, willful misconduct or violation of law. It does not require reimbursement of unrelated expenses or permit recovery prohibited by law.
We will give reasonably prompt notice of a claim; delayed notice relieves your obligations only to the extent it materially prejudices the defense. You may control the defense with reasonably acceptable counsel, and we will reasonably cooperate at your expense. We may participate with our own counsel at our own expense. Do not settle a claim in a way that admits fault by us, imposes a non-monetary obligation on us, or fails to release the covered parties without our prior written consent. Consent will not be unreasonably withheld.
22. User data
Our Privacy Policy explains how we handle personal information. Where applicable law requires a data processing agreement for processing on an organization's behalf, a separate agreement must cover that processing. Contact us to arrange applicable terms; this section is not a substitute for a data processing agreement.
You are responsible for the lawfulness of information you submit, the recipients you authorize and copies you download or share. Retain any copies you need within your authorized use. We do not promise indefinite storage, restoration of every deleted item or recall of downloaded copies. Data access, retention, deletion and security remain subject to our Privacy Policy, applicable law and any expressly agreed data processing terms. Sections 19 and 20 govern liability to the extent legally permitted; this section does not waive non-waivable privacy or data-protection rights.
23. Electronic communications, transactions, and signatures
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SITE. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
24. California users and residents
If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.
25. Miscellaneous
These Terms, the Privacy Policy and any separately accepted checkout, quote, order form or written agreement form the agreement for the applicable service. Professional Partner responsibilities are included in these Terms; a separate partner agreement is not required unless we separately agree to one. A separately agreed written agreement controls a conflict only on matters it specifically covers. Pricing, service periods, client scope and additional support or service commitments must be expressly agreed; statements by a Professional Partner do not create commitments by TeamDynamics.
Failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues to the extent permitted by law. No provision waives mandatory consumer, privacy or other statutory rights. Neither your use nor Professional Partner status creates an agency, employment, joint venture or legal partnership with TeamDynamics. You have no authority to bind us. We may assign these Terms as part of a merger, acquisition, reorganization or transfer of the relevant business, subject to applicable law and existing obligations. You may not transfer an account or your rights under these Terms without our written consent.
